Please find answers to popular questions regarding the Annual General Meeting in 2024

The Annual General Meeting of Raiffeisen Bank International AG will be held on Thursday, 4 April 2024 at 10:00 a.m. (CEST) at the Wiener Stadthalle, Hall F, Roland-Rainer-Platz 1, 1150 Vienna, Austria. The Annual General Meeting will be conducted as a "hybrid" assembly. Shareholders have the option of attending physically at the location of the GM, or virtually by participating remotely and voting remotely.

Yes, you must register in good time and provide evidence of your share in order to be entitled to attend the Annual General Meeting and to exercise your voting rights and other shareholder rights. Please contact your depositary bank in good time to ensure proper registration.

Unless the proxy authorization is submitted through the GM portal, it must be received by the Company at one of the addresses of the Company specified in the convocation notice no later than 2 April 2024, 04:00 p.m. (CEST).

If an independent  proxy is granted authorization, the authorization, as described above, must also be sent to the Company or submitted through the GM portal. In each instance, instructions must be given to the special proxy for the exercise of the voting right. Without such explicit instructions, the voting right will not be exercised.

Unless the proxy authorization is submitted through the GM portal, it must be received by the Company at one of the addresses of the Company specified in the convocation notice no later than 2 April 2024, 04:00 p.m. (CEST).

A form for granting proxy authorization and one for revocation of proxy authorization will be sent upon request and are available on the Company’s website.

The right to participate in the Annual General Meeting and to exercise voting rights and other shareholder rights, which are to be exercised during the course of the Annual General Meeting depends on the ownership of shares at the end of the tenth day prior to the Annual General Meeting (record date). This record date is 25 March 2024, 12:00 a.m. (CET).

The General Meeting will be partially broadcast to the public on the Company’s website from approximately 10:00 a.m. (CEST) from the beginning until the end of the presentation of agenda item 1.

No, no questions addressed to the Annual General Meeting will be answered or published in advance.

Shareholders can submit their questions from the time the Annual General Meeting is convened until the third working day before the Annual General Meeting, i.e. March 29, 2024 12.00 a.m (CET), via email to fragen.rbi@computershare.de and from the record date also via the GM portal to the Company. The  questions submitted in this way will be read out and answered at the Annual General Meeting.

Shareholders who are participating virtually can exercise their right to information and to speak during the Annual General Meeting through the GM portal. They may also address the Annual General Meeting to ask questions and/or make a statement by means of an acoustic and optical two-way connection (supported by a webcam and microphone) in real time via video link. Each shareholder is also invited to send his/her questions directly to the Company during the Annual General Meeting by e-mail to fragen.rbi@computershare.de. Shareholders may use the question form available on the Company’s website.

Physically participating shareholders will be given a corresponding request-to-speak form at the Annual General Meeting. Questions may be asked until the chairman completes the question and answer process.

Every shareholder is entitled to submit motions at the Annual General Meeting for each item on the agenda (sec. 119 Stock Corporation Act). Shareholders can submit their countermotion from the time the Annual General Meeting is convened until the third working day before the Annual General Meeting, i.e. March 29, 2024 12.00 a.m (CET), via email to antrag.rbi@computershare.de and from the record date also via the GM portal to the Company. The countermotions submitted in this way will be read out at the Annual General Meeting. Shareholders who are participating virtually can exercise their right to submit motions via the GM portal. The point in time up to which it is possible to submit a motion via the GM portal will be determined by the Chairman during the virtual Annual General Meeting and announced in good time.

Shareholders whose shares equal individually or in aggregate 1% of the share capital of the Company may submit to the Company proposals for resolutions in respect of each agenda item together with a statement specifying the reasons for the proposal and request that these proposals be made available on the Company’s website (as recorded in the commercial register) together with the names of the respective shareholders, the accompanying statements of reasons for the proposals and any statements issued by the Management Board or Supervisory Board, provided that this request is made in text form and received by the Company no later than 25 March 2024 either by fax to +49 89 30903 74675, by e-mail to antrag.rbi@computershare.de or by mail or courier service to Raiffeisen Bank International AG, Attn. Elisabeth Klinger – Group Investor Relations, Am Stadtpark 9, 1030 Vienna, Austria. Each resolution proposal must (also) be submitted in a German language version.

The Annual General Meeting will be held in German. We offer simultaneous translation from German into English. Sign-language interpreters will also be available for the entire duration of the Annual General Meeting.

The Company’s GM portal is available to shareholders who are participating virtually for the exercise of voting rights and other shareholders’ rights as from the record date (25 March 2024, 12:00 a.m. (CET)) and can be accessed on the Company’s website. To use the GM portal, access data is required, which can be requested as of the record date. The prerequisite for sending the access data is the timely transmission of the deposit certificate. Submission of the deposit certificate consitutes registration for the Annual General Meeting at the same time.

If the shareholder submits several deposit confirmations (e.g. due to several share deposits in his/her name) for the virtual participation, he/she will also receive a corresponding number of access data (voting card number and access password) for the GM portal. The shareholder can use these access data to log in to the GM portal several times using different internet browsers or browser tabs. If the shareholder wishes to exercise voting rights and other shareholder rights for which he/she has several access data combinations, the Company recommends using a separate internet browser for each access data combination.

The access data can be requested as of the record date, 25 March 2024, 24:00 (CET). After receipt of the deposit confirmation, the access data for the GM portal will be sent by e-mail to the e-mail address provided by the shareholder. For more information on requesting the access data, please refer to the information on the organizational and technical requirements for virtual participation.

You must request the relevant access data to use the GM portal. The prerequisite for sending the access data for registration in the GM portal is the timely transmission of the deposit confirmation. This must be received by the Company no later than 29 March 2024, 12:00 a.m. (CET).

If shareholders wish to ask their question(s) by video link in real time at the Annual General Meeting, they must inform the Company of this in the GM portal during the Annual General Meeting by using the button “Register to speak”. A window will open and shareholders will be required to enter a currently accessible e-mail address under the video link heading. A member of the Company’s staff will send an e-mail containing an internet link to a video conferencing program and further instructions to the shareholder at the specified e-mail address. After launching the video conferencing program via the internet link, the shareholder will be invited by a member of the Company’s staff to enter the virtual shareholder waiting room for the Annual General Meeting. The quality of the video and audio transmission will be checked as to whether it is sufficient for a real-time video link to the broadcast of the Annual General Meeting. If this is the case, the chairman of the meeting will authorize the shareholder to be connected at a suitable point.

Furthermore, the partner of the Company Computershare Deutschland GmbH & Co. KG is ISO 9001:2015 and ISO 27001 certified. Your data will be treated with the highest confidentiality.
